1. Acceptance of Terms

By accessing or using ClausePatrol ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. We reserve the right to modify these terms at any time with notice to users.

2. Description of Service

ClausePatrol is a document monitoring service that tracks changes to publicly accessible legal documents (Terms of Service, Privacy Policies, etc.) and sends alerts when significant changes are detected.

The Service monitors only publicly accessible URLs that you provide. We do not access private, password-protected, or proprietary documents.

3. Account Registration

• You must be at least 18 years old to use the Service
• You must provide accurate and complete information
• You are responsible for maintaining account security
• You must notify us immediately of unauthorized access
• One account per user; no account sharing

4. Subscription Plans and Pricing

4.1 Plans

• Free Plan: Monitor up to 3 documents with daily checks
• Pro Plan ($19/month): Monitor up to 30 documents with daily checks
• Enterprise Plan ($99/month): Unlimited documents with daily checks

4.2 Billing

• Subscriptions are billed monthly in advance
• Payments are processed by Razorpay or LemonSqueezy
• All prices are in USD and subject to applicable taxes
• Price changes will be notified 30 days in advance
• No refunds for partial months (see Refund Policy)

5. Acceptable Use

You agree NOT to:

• Monitor documents you do not have permission to access
• Use the Service for illegal purposes or to violate others' rights
• Attempt to bypass rate limits or security measures
• Resell or redistribute the Service without authorization
• Use the Service to harass, stalk, or harm others
• Reverse engineer or attempt to extract source code
• Submit malicious URLs or attempt to compromise the Service

6. Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted service. We are not liable for:

• Scheduled maintenance downtime (notified in advance)
• Third-party service failures (hosting, AI providers, etc.)
• Document source websites being unavailable
• Missed change detections due to technical issues

7. Intellectual Property

Your Content: You retain ownership of URLs and data you provide. You grant us a license to monitor specified URLs and process content solely to provide the Service.

Our Content: The Service, including software, design, trademarks, and documentation, is owned by ClausePatrol and protected by intellectual property laws. You may not copy, modify, or distribute our content.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• The Service is provided "AS IS" without warranties of any kind
• We are not liable for missed change detections or false alerts
• We are not responsible for actions taken based on our alerts
• Our total liability is limited to the amount paid in the last 12 months
• We are not liable for indirect, incidental, or consequential damages

9. Indemnification

You agree to indemnify and hold ClausePatrol harmless from any claims, damages, or expenses arising from your use of the Service, violation of these terms, or violation of third-party rights.

10. Termination

10.1 By You

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period.

10.2 By Us

We may suspend or terminate your account for:

• Violation of these Terms
• Non-payment of subscription fees
• Fraudulent or illegal activity
• Abuse of Service resources

Upon termination, your data will be deleted within 30 days.

11. Dispute Resolution

Governing Law: These Terms are governed by the laws of India. Any disputes will be resolved in the courts of Greater Noida, Uttar Pradesh, India.

Informal Resolution: Before filing any claim, contact us at [email protected] to attempt informal resolution.

12. Changes to Terms

We may modify these Terms at any time. Material changes will be notified via email 30 days before taking effect. Continued use after changes constitutes acceptance.
